1. Acceptance of Terms

By accessing or using the Maison website, mobile applications, or related services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not accept every part of the Terms, you may not use the Platform.

 

2. Overview of the Platform

Maison Ventures Limited (“Maison,” “we,” “us,” “our”) operates a marketplace that connects homeowners with independent, vetted contractors (“Vendors”) in geographic regions we call “patches.” Maison does not itself perform renovation or repair services, supervise Vendor work, or guarantee Vendor performance. All agreements for services are strictly between you and the Vendor.

 

3. Independent Contractor Disclaimer

Vendors are independent contractors, not employees, agents, joint-venturers, or partners of Maison. Vendors are solely responsible for:

• obtaining and maintaining all required licences, permits, insurance, and workers’ compensation or WSIB coverage

• complying with applicable laws such as the Consumer Protection Act, 2002 and the Construction Act

• the quality, safety, and completion of their work

Maison does not supervise, direct, or control Vendor work and is not liable for any act or omission of a Vendor.

 

4. Eligibility

You must be the legal age of majority in your province or territory of residence to use the Platform.

 

5. Vendor Listings and Relationships

Vendor profiles, service descriptions, and pricing are provided for convenience only. Maison does not warrant the accuracy, availability, or pricing of any Vendor. You are responsible for performing your own due diligence before hiring a Vendor.

 

6. Referrals and Marketing Communications

You may refer homeowners, Vendors, or partners to Maison. By submitting a referral, you confirm that you have the referred party’s consent for Maison to contact them. Maison may send referral-related or promotional emails in compliance with Canada’s Anti-Spam Legislation (CASL), and every commercial email will include an unsubscribe option.

 

7. Permitted Use and Platform Integrity

You agree to use the Platform only for lawful, personal, and non-commercial purposes. You must not:

• impersonate any person or misrepresent your identity

• upload malware or attempt to gain unauthorised system access

• scrape, crawl, or harvest data without Maison’s written consent

• reverse-engineer, decompile, or disassemble any part of the Platform

• interfere with or disrupt the Platform or its users

• submit false, abusive, or misleading content

• circumvent Maison’s referral, fee, or access controls

Maison may suspend or terminate your access immediately if you breach this section.

 

8. User Content

If you upload, post, or transmit any content (including photos, reviews, or comments) (“User Content”), you grant Maison a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable licence to use, display, reproduce, modify, adapt, and distribute that User Content in connection with the Platform. You represent that you own or have the necessary rights to grant this licence.

Notice of alleged infringement: To report allegedly infringing content, email chi@maison.so with details of the infringement. Maison will investigate and remove content where appropriate.

 

9. Fees and Payment (future use)

Maison may introduce subscription fees, referral commissions, or other charges in the future. Any fees will be disclosed before they apply. Unless otherwise stated, fees are in Canadian dollars and exclusive of applicable taxes. You authorise Maison to charge the payment method on file for all fees. Maison is not a trustee of user funds.

 

10. Intellectual Property

All Platform content, design, code, text, graphics, and trademarks are owned by or licensed to Maison and are protected by applicable intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works without Maison’s prior written consent.

 

11. Third-Party Links

The Platform may contain links to third-party sites or services. Maison is not responsible for third-party content, accuracy, or privacy practices. Use of third-party sites is at your own risk.

 

12. Privacy

Personal information is collected, used, and disclosed as described in Maison’s Privacy Policy, which forms part of these Terms.

 

13. Accessibility

Maison is committed to meeting the requirements of the Accessibility for Ontarians with Disabilities Act (AODA) and the WCAG 2.0 Level AA guidelines. Feedback about accessibility can be sent to jiin@maison.so.

 

14. Disclaimers

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, Maison disclaims all express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Maison does not guarantee the accuracy of Vendor information or the outcome of any project.

 

15. Limitation of Liability

To the maximum extent permitted by law, Maison’s total liability to you for any claim arising out of or related to the Platform will not exceed the greater of:

• one hundred Canadian dollars (CAD $100); or

• the total amount you paid Maison, if any, in the twelve-month period preceding the claim.

This cap does not limit liability for gross negligence, wilful misconduct, or any liability that cannot legally be excluded or limited.

 

16. Indemnification

You will indemnify and hold harmless Maison and its directors, officers, employees, and agents from any loss, liability, claim, or expense (including reasonable legal fees) arising out of or relating to:

• your use or misuse of the Platform

• your User Content or referrals

• your dealings with any Vendor

• your breach of these Terms or applicable law

 

17. Dispute Resolution

Informal resolution: Before starting formal proceedings, you agree to contact Maison at chi@maison.so and attempt to resolve the dispute informally for at least thirty (30) days.

Arbitration: If not resolved informally, disputes will be finally resolved by binding arbitration under the ADR Institute of Canada Arbitration Rules, held in Toronto, Ontario, in English. The arbitrator’s decision may be entered in any court with jurisdiction.

Class-action waiver: Disputes must be brought in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

Small-claims carve-out: Either party may pursue an eligible claim in small-claims court in Toronto instead of arbitration.

 

18. Termination

Maison may suspend or terminate the Platform or your account at any time, with or without cause. Upon termination, sections that by their nature should survive (including the User Content licence, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions) will remain in effect.

 

19. Modifications to Terms

Maison may update these Terms from time to time. We will post the revised Terms on the Platform and update the effective date. Continued use of the Platform after the revised Terms are posted constitutes your acceptance.

 

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Subject to section 17, you agree to the exclusive jurisdiction of the courts in Toronto, Ontario.

 

21. Miscellaneous

Severability: If any provision is invalid, the remaining provisions remain in full force.

No waiver: Failure to enforce any provision is not a waiver of that provision or any other.

Force majeure: Maison is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, outages, or governmental actions.

Assignment: Maison may assign these Terms without notice. You may not assign your rights or obligations without Maison’s prior written consent.

Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Maison regarding the Platform and supersede all prior understandings.

18. Termination
